CHANGING TIMES CALL FOR RESPONSIVE, HIGH QUALITY PROXY SUPPORT

Registrar and Transfer Company and Commerce Financial Printers are
pleased to announce the formation of a new affiliate, Eagle Rock Proxy
Advisors, LLC, (“Eagle Rock”). Eagle Rock has been formed to assist
issuers dealing with the changing topography of shareholder meetings and
corporate governance issues. “We formed Eagle Rock with the same
integrity and commitment to responsive, high quality personal service
that has been our hallmark through the decades”, stated Tom Montrone,
Chairman, President and CEO of Eagle Rock. "With the growth in
importance of corporate governance and changes in the shareholder
meeting process, particularly the elimination of discretionary voting on
directors and Proxy Access, we felt that issuers needed to have a
committed long-term alternative."
Eagle Rock has been staffed with seasoned industry experts Joe
Contorno, Jason Vinick and James Gill. Each joins Eagle Rock with an
average of 16 years experience in brokerage and proxy solicitation. Joe
will fill the position as the Senior Managing Director responsible for
business development and operations. Joe is also a member of the Board
of Directors of Eagle Rock. Joe stated "It’s thrilling to join forces
with the highly-regarded Registrar and Transfer Company senior
management team and form a new venture, one that is guided by the
standards and principles of service and commitment."
Eagle Rock Proxy Advisors’ operations are already established at 12
Commerce Drive and have fully operational mail, printing and telephone
services for solicitation. "We needed to hit the ground running," stated
Mary Rose Cascaes, Senior Managing Director and Chief Administrative
Officer for Eagle Rock. "Forming a new company was a challenge, but we
already have the operating experience in place to handle complex
processes and handle them well."
