Year One - Meeting Client Proxy Solicitation Needs
In the years prior to the formation of Eagle Rock, R&T referred clients to proxy solicitors whenever we believed that a client would be best served by employing one. The solicitors we noted had a track record of providing high quality, ethical service to all clients, including small and mid-sized issuers. We did not and would not accept a "finder's fee" from solicitors, as some might, looking instead for quality service to support our clients' needs.
The changing landscape of the proxy solicitation business caused us to reconsider this approach. The leeching of entire staffs from reputable solicitation firms and other incidents placed us in a situation where we no longer had that caring business partner that provided full service solicitation. The time was right to form an affiliate where we could control the quality and the ethics of the service delivered to our clients. It also enabled us to expand our service offerings, consistent with our philosophy of providing clients with 'One Stop Shopping'. When an issuer needs a solicitor, they are often venturing into areas beyond their expertise and, in fact, may not realize when help is needed with their shareholder meeting or the counsel of a corporate governance expert. Unfortunately, many solicitors' attentions are focused on large deals, with artful lip service often given to smaller and less lucrative clients. As an affiliate, Eagle Rock enables us to ensure that all clients are given premium service.

Webinar Planned - The Basics and Proxy Access to Date
To this end, Eagle Rock is planning a second webinar for issuers, law firms and other industry participants. This briefing will cover developments in Proxy Access followed by a review of the proxy solicitation process and the importance of analyzing your shareholder base and understanding voting projections.
